20. SERVICE LEVEL AGREEMENT
20.1 Service Commitment
REEL will use commercially reasonable efforts to make its web-based software platform (the “Platform”) available 99.5% of the time in any calendar month (the “Service Commitment”), excluding Permitted Downtime.
Availability is measured on a monthly basis and refers to the availability of the core Platform functionality to all users.
20.2 Permitted Downtime
The Service Commitment does not apply to downtime resulting from:
• Scheduled maintenance, upgrades, or updates (performed during off-peak hours where practicable and with advance notice when reasonably possible);
• Emergency maintenance required to protect the security or integrity of the Platform or data;
• Issues caused by the Subscriber’s systems, devices, internet connectivity, or user error;
• Failures of third-party services, integrations, or infrastructure outside of REEL’s reasonable control; or
• Force majeure events as described in Section 14.
Short interruptions lasting less than ten (10) consecutive minutes do not constitute Downtime.
20.3 Support and Response
Support services are provided in accordance with REEL’s standard support practices during normal business hours (Monday to Friday, 9:00 a.m. – 5:00 p.m. Eastern Time, excluding Ontario statutory holidays).
Response times reflect acknowledgement and investigation of an issue, not guaranteed resolution times.
20.4 Service Credits (If Applicable)
Unless expressly stated in writing in a separate agreement, service credits are not automatically provided.
Where service credits are expressly offered and applicable:
• Credits will be applied to a future invoice only and are not redeemable for cash;
• Requests must be submitted in writing within thirty (30) days following the applicable month; and
• Service credits constitute the Subscriber’s sole and exclusive remedy for failure to meet the Service Commitment.
20.5 Exclusions
This Service Level Agreement does not apply to:
• Pilot programs, beta releases, free trials, or no-charge services unless expressly stated otherwise in writing; or
• Issues arising from misuse, unauthorized modifications, or breach of these Terms.
20.6 Updates
REEL may update this Service Level Agreement from time to time.
Material changes will be communicated through the Platform or website.
Continued use of the Platform constitutes acceptance of the updated SLA.
21. SUBSCRIBERS
Subscribing
Subscription
You can subscribe to our digital solution by signing up for one of our available subscription plans and paying the applicable fees.
Subscriptions run on a monthly or yearly basis.
Fees are charged monthly or yearly in advance in accordance with the billing information provided by you to us, and if you have elected to subscribe, you hereby authorize us to initiate debits through your selected payment method for such amounts.
Subscribers are responsible for:
• Monitoring their own billing information for payment of the fees for their subscription;
• Ensuring that they have a valid payment method for paying the fees;
• Adding or removing licenses will occur based on direct communication by the subscriber to REEL; and
• Paying the subscription fees by the due date.
Account Owners can manage the billing information and subscription through their account settings or by contacting us.
Except as set forth below under Termination, all fees are non-refundable.
Availability of the Services
Once a Subscriber has subscribed and paid, REEL will make the Services available to the Subscriber’s users for the subscription plan purchased.
However, REEL cannot be responsible for any unavailability of the Services caused by circumstances beyond our reasonable control, such as internet outages or issues with your computer systems or devices.
Limitations
Our websites and resources are intended to provide general information about REEL products and services.
They may not always be accurate, complete, or up-to-date and are not intended to provide legal or professional advice.
We recommend that Subscribers obtain their own guidance and advice with respect to regulatory and legal compliance.
Subscriber Accounts
In order to access and use the Services, you must complete payment and create a password using the username provided by REEL.
You must provide truthful and accurate information when you create an account.
Account Owner
We will treat the person signing up for a subscription on behalf of a Subscriber as the “Account Owner” and will consider them authorized to administer the account for the Subscriber.
This includes authorizing additional user accounts for staff members and granting and revoking user access rights and permissions in relation to a Subscriber.
Each Subscriber can have only one (1) associated Account Owner, and REEL will consider them the authorized representative of the Subscriber and the person we will contact for all matters related to the Subscriber, the Subscriber’s account, or data.
The Account Owner must be a named individual.
Any questions about a Subscriber’s subscription and any associated user account(s) should be directed to the Account Owner.
A Subscriber may change the person listed as the Account Owner through the account settings functionality on the Platform.
User Accounts
Subscribers are responsible for all activities that occur under their user accounts and for any issues, claims, or disputes arising out of the conduct of their users.
You are responsible for maintaining the security and confidentiality of your username and password.
Please reset your password immediately and notify us immediately at info@reeloutline.com if:
• You believe that your username and password have been compromised;
• It is no longer a secret;
• A device that you use to access the Service has been lost or stolen; or
• You believe that someone is using your account without your permission, or that any unauthorized activity has occurred on your account.
We may also temporarily restrict access to an account if we feel that the account credentials may have been compromised.
For your account safety and convenience, REEL makes optional security features available through the account settings and recommends using strong, unique passwords for each user.
REEL will not be liable for any losses or damages caused by a Subscriber’s failure to maintain the confidentiality of its user accounts and account credentials.
We may access your account as needed regarding Subscriber Data and/or in order to respond to your requests for account security, as well as for any technical or other support deemed necessary.
In order to do so and to protect the security of your account, we may from time to time require you or an account administrator to confirm or verify your identity and provide any other information or documents we may consider appropriate at our discretion.
Termination
Overdue Fees
If any fees due from a Subscriber to REEL are more than thirty (30) days overdue, we may, without limiting our other rights and remedies, suspend or terminate access to the Services until the overdue amounts are paid in full.
We will provide at least seven (7) days’ prior notice that fees are overdue before doing so.
We will not exercise this right if we consider that a Subscriber is disputing the applicable fees reasonably and in good faith and is cooperating diligently to resolve the dispute in a timely manner.
Termination by Us
REEL may terminate or suspend access to the Services, or suspend or deactivate a Subscriber’s Account, if the Subscriber breaches any obligations under these Terms or otherwise uses the Services in a manner that breaches the law.
REEL may also terminate a Subscriber’s subscription if REEL discontinues the Services.
We will use our best efforts to notify you in advance of any suspension or termination and help Subscribers retrieve their Subscriber Data.
However, there may be situations where we need to suspend access immediately in order to prevent harm to REEL or others.
Refunds
If a Subscriber terminates its subscription due to a breach by REEL or REEL discontinues the Services, we will refund any fees you had pre-paid for the remaining unused portion of your subscription term.
If REEL terminates a Subscriber’s subscription due to a breach by the Subscriber, the Subscriber will not be entitled to any refund and must pay any unpaid fees for the remaining unused portion of the subscription term.
Termination does not relieve a Subscriber of its obligation to pay fees for any period prior to the effective date of termination.
22. USER ACCESS TO DATA
REEL’s data can be separated into three (3) categories:
1. Personal Information (PI)
2. Personal Health Information (PHI)
3. Analytics Data (de-identified system-level insights such as average consultation times and correlations between two fields)
PI and PHI stored on REEL can only be accessed by the pharmacist or other legal data custodian associated with the pharmacy (i.e. pharmacy technician, pharmacy student, or pharmacy intern).
Users of these groups must go through at least two (2) levels of authentication to access the data:
1. Patients must verify their phone number and health card number.
2. Pharmacists and other legal data custodians associated with the pharmacy must provide the correct username, password, and verification code sent to their phone number (Multi-Factor Authentication).
Analytics data is used by REEL to improve the product and to provide system-level insights to our constituents for service improvements.
This means the data cannot be accessed and is not used for the following:
• Individual PI and PHI cannot be accessed and viewed by REEL and its constituents (including its developers, third-party software providers, contractors, and any other parties involved with REEL’s product and services), except for select members of our team (see Select Users below).
• In order to troubleshoot errors in software, our pharmacy clients must give explicit permission for REEL to access the specific instance of the platform and, by extension, any related PHI.
• REEL will not directly engage with any patients or promote other services unless it is part of the REEL platform as confirmed by the pharmacy (i.e. consultation confirmations, reminders, post-consultation notes, etc.).
Organizational Procedures
REEL employs the following internal protocols and procedures to ensure secure access to PHI stored on our production servers:
• Select User Access – Only highly selected REEL team members have access to the production databases and therefore, by extension, PHI. All team members are fully aware of responsibilities pertaining to this degree of access and undergo annual security training.
• Compliancy Officer – Vesna Spadafora and Charlene Haluk-McMahon are REEL’s single points of contact for all privacy and security-related questions and concerns. They are responsible for providing documents and presentations on ongoing compliance-related topics, including government requirement updates, to the team and all new hires.
• Segregated Networks – REEL’s production network is completely segregated from regular internal networks and can only be accessed by Select Users.
• Changes to Production Environment – All change requests to the production environment (including databases, servers, microservices, codebase, etc.) require sign-off from the Compliancy Officer and the CTO.
• Accidental PHI Leaks by Clients – When clients accidentally share PHI with any REEL team member through email, text, or any other means, a specific procedure is followed to destroy all PHI that was leaked and educate the client to prevent the same mistake from occurring again.
23. CODE OF CONDUCT
